Here’s how to register a business in Kenya

Registering businesses in Kenya has been made easier and faster. You can now do a name search and even register your business entirely online on eCitizen. It is important to note that from October 15, 2017, no manual company registration will be done by the company registrar.

Here is the new process for registering a business in Kenya.

A. Log in to your eCitizen account

In order to be able to use the eCitizen platform, you must be registered with it, which is a simple process. Once logged in, select Business Registration Service.

B. Name search

Once you are in the Business Registration Service, click on Apply. This will take you to a section where you will click on Register Company Name. In the next step, you will need to choose the type of business you want to register as well as your preferred business name.

If you want to register a sole proprietorship or partnership, choose Registration of business name and if you want to register a limited liability company, choose this option and so on.

A name search is processed during the day and only one name can be submitted at a time. It is processed Monday to Friday from 8 a.m. to 5 p.m. excluding public holidays.

C. Business registration

Once the business name is approved, you may then be authorized to register your business. Name search approval is not communicated via email, so you should continue to visit the eCitizen website.

D. Conditions of registration

Company

1. Complete the CR1 Business Registration Form (Download HERE).
2. Fill in the details of directors and shareholders and upload scanned copies of ID card / passport, KRA PIN certificate and recent color ID photo. Directors / shareholders must be registered on the iTax platform.
3. Fill in the shareholding details.
4. Complete a Directors Residential Address Notice – Form CR8.
5. Complete the declaration of nominal capital.

Please note that you can now register a company with one person who is both a shareholder and a director.

Registration takes a week and the certificate will be available for download on the eCitizen platform.

Partnership and sole proprietorship

1. Complete the BN2 form
2. Upload the ID card / passport, KRA PIN certificate and recent color ID photographs of the Sole Proprietor or Partners as applicable.

E. Costs

  • Name Search – Ksh. 150
  • Company registration – Ksh. 10 650
  • Partnership and sole proprietorship – Ksh. 1000
